PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE DOWNLOADING, INSTALLING, ACCESSING OR USING THE TINGTONG APPLICATION. BY DOWNLOADING, INSTALLING, ACCESSING OR USING THE APPLICATION, YOU AGREE TO BE BOUND BY ALL THE TERMS AND CONDITIONS SET OUT HEREIN. THESE TERMS CONTAIN AN AGREEMENT TO RESOLVE DISPUTES BY BINDING ARBITRATION. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE ALL USE OF THE APPLICATION AND DELETE IT FROM YOUR DEVICE.

1. THE AGREEMENT AND THE PARTIES

1.1 These Terms of Service (hereinafter referred to as the "Terms" or this "Agreement") constitute a legally binding agreement between you, the end user of the Application (hereinafter referred to as "you", "your" or the "User"), and TingTong, a sole proprietorship concern constituted under the laws of India, carrying on business under the trade name "TingTong", having its principal place of business at Mumbai, Maharashtra, India (hereinafter referred to as the "Company", "we", "us" or "our").

1.2 The Company is the proprietor, developer, owner and operator of the mobile software application presently titled "TingTong Bell", distributed through the Apple App Store for use on devices running Apple’s iOS operating system, together with the website https://ting-tong.com and all related features, functionalities, content and services (hereinafter collectively referred to as the "Application" or the "Service").

1.3 This Agreement incorporates by reference the Privacy Policy of the Company, as published on the Company website and as amended from time to time (hereinafter referred to as the "Privacy Policy"). The Privacy Policy forms an integral part of this Agreement and shall be read as if set out herein in extenso.

1.4 By creating a profile, enabling notifications, or otherwise using the Application in any manner whatsoever, you represent and warrant that you have read, understood and accepted this Agreement and the Privacy Policy, and that you have the legal capacity to contract under the Indian Contract Act, 1872.

2. DESCRIPTION OF THE SERVICE

2.1 The Application performs a single core function. It permits a User to select another User and to cause a notification, in the nature of a doorbell ring, to be delivered to the device of that other User. The Application is designed to direct a ring to one identified recipient rather than to a household or group at large.

2.2 The Company may, at its sole discretion and without any obligation to do so, extend, modify, supplement or discontinue the functionality of the Application, including by extending the Service to shared premises such as offices, hostels, dormitories, co-working spaces, residential buildings and intercom systems, to delivery and visitor access use cases, to hospitality, event and venue use cases, to accessibility and assisted-living use cases, and to integration with physical hardware, smart home or Internet of Things devices. Nothing in this Clause shall be construed as a representation, undertaking or commitment by the Company that any such functionality shall be developed, released or maintained.

2.3 For the avoidance of doubt, the Application is not a messaging application, is not a social network, is not a walkie-talkie, push-to-talk or voice transmission application, and does not permit the exchange of text, voice, image or video content between Users.

2.4 The Application is presently made available only for devices running Apple’s iOS operating system. The Company makes no representation that the Application is or shall be made available on any other platform or operating system.

3. THE APPLICATION IS NOT AN EMERGENCY, SAFETY, SECURITY OR MEDICAL SERVICE

3.1 THE APPLICATION IS A CONVENIENCE NOTIFICATION TOOL ONLY. IT IS NOT, AND MUST NOT BE RELIED UPON AS, AN EMERGENCY COMMUNICATION SERVICE, AN EMERGENCY ALERT SYSTEM, A MEDICAL ALERT OR MEDICAL DEVICE, A PERSONAL EMERGENCY RESPONSE SYSTEM, A SECURITY, SURVEILLANCE, INTRUSION DETECTION OR ACCESS CONTROL SYSTEM, A FIRE OR SAFETY ALARM, A CAREGIVER MONITORING SERVICE, OR ANY OTHER LIFE-SAFETY SYSTEM.

3.2 Delivery of a ring is dependent upon factors outside the control of the Company, including the availability and configuration of your device, the notification permissions granted by you and by the recipient, the settings of the recipient’s device including silent, focus, do not disturb, low power and aeroplane modes, the availability and quality of internet connectivity, and the continued availability of third party push notification infrastructure including the Expo push notification service and the Apple Push Notification service. The Company does not warrant that any ring shall be delivered, delivered in a timely manner, delivered at all, or perceived, acknowledged or acted upon by the recipient.

3.3 You must not use the Application in any circumstance where a failure of, or delay in, delivery of a ring could result in death, personal injury, loss of or damage to property, or any other loss or harm. In any emergency, you must contact the appropriate emergency services directly.

3.4 The Company expressly disclaims all liability arising out of or in connection with any reliance placed on the Application in any of the circumstances described in this Clause 3, and you assume all risk of such use.

4. ELIGIBILITY AND USER ACCOUNTS

4.1 Eligibility to use the Application, including the applicable minimum age, the requirement for verifiable consent of a parent or lawful guardian in the case of a child, and the treatment of data belonging to children and to persons with disabilities having a lawful guardian, is governed by the Privacy Policy, which you must read and accept before using the Application. The Company reserves the right to refuse, suspend or terminate access where it has reason to believe that the eligibility requirements set out in the Privacy Policy are not satisfied.

4.2 You are solely responsible for maintaining the confidentiality and security of your device, your profile and any credentials associated with the Application, and for all activity occurring through them. You must notify the Company forthwith at hello@ting-tong.com upon becoming aware of any unauthorised use.

4.3 You represent and warrant that all information provided by you to the Company is true, accurate, current and complete, and that you shall keep such information updated.

5. LICENCE

5.1 Subject to your continued compliance with this Agreement, the Company grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to download, install and use one copy of the Application on an Apple-branded device that you own or control, solely for your own personal and non-commercial use, in the manner permitted by the Usage Rules set out in the Apple Media Services Terms and Conditions.

5.2 The licence granted under Clause 5.1 is a licence to use only. No right, title or interest in or to the Application is transferred to you. All rights not expressly granted herein are reserved to the Company.

5.3 You shall not, and shall not permit any third party to, (i) copy, reproduce, republish, distribute, sell, rent, lease, lend, sublicense, assign or otherwise transfer the Application; (ii) modify, adapt, translate or create derivative works of the Application; (iii) decompile, disassemble, reverse engineer or otherwise attempt to derive the source code, object code or underlying structure, ideas or algorithms of the Application, save to the extent such restriction is expressly prohibited by applicable law; (iv) remove, obscure or alter any proprietary notice, mark or legend; (v) circumvent, disable or interfere with any security, rate limiting or authentication feature; (vi) use any robot, spider, scraper, automated script or other automated means to access the Application or to generate rings; or (vii) use the Application in the development of any competing product or service.

6. INTELLECTUAL PROPERTY

6.1 The Application, and all software, source code, object code, databases, designs, layouts, user interfaces, graphics, illustrations, icons, sounds including the doorbell tone, text, audio, video and all other content comprised therein (hereinafter collectively referred to as the "Content"), and all trade marks, service marks, trade names, trade dress, logos and the mark "TingTong" (hereinafter collectively referred to as the "Marks"), are and shall at all times remain the exclusive property of the Company or of its licensors, and are protected under the Copyright Act, 1957, the Trade Marks Act, 1999, the Designs Act, 2000, the Patents Act, 1970 and other applicable laws in India and, where applicable, under the intellectual property laws of other jurisdictions and international conventions.

6.2 The Company has made or intends to make applications for registration of the Marks in respect of, inter alia, mobile application software, person to person notification and alert services, downloadable software for personal and social notification purposes, and smart home and Internet of Things integration. Nothing in this Agreement shall be construed as granting you any right, licence or permission to use any of the Marks.

6.3 Feedback. If you submit to the Company any question, comment, suggestion, idea, feature request, bug report or other information relating to the Application (hereinafter referred to as a "Submission"), including through the feedback facility on the Company website, you hereby irrevocably assign to the Company all right, title and interest, including all intellectual property rights, in and to such Submission, on a worldwide, perpetual and royalty-free basis, and you waive, to the fullest extent permissible in law, all moral rights therein. The Company shall be free to use, reproduce, modify and exploit the Submission for any purpose whatsoever without any obligation of acknowledgement, confidentiality or compensation to you. You warrant that each Submission is original to you and does not infringe the rights of any third party.

7. ACCEPTABLE USE AND PROHIBITED CONDUCT

7.1 You acknowledge that the Application enables you to cause an audible or tactile alert on the device of another person, and that misuse of this functionality is capable of causing annoyance, alarm, inconvenience, disturbance of sleep and distress. 7.2 You shall not use the Application to: (i) harass, annoy, alarm, intimidate, threaten, stalk, abuse or cause inconvenience, obstruction, annoyance or injury to any person; (ii) transmit repeated, excessive, persistent or unwanted rings to any person, including after that person has asked you to stop; (iii) ring any person who has not consented to receive rings from you; (iv) ring any person at hours at which a reasonable person would not wish to be disturbed; (v) impersonate any person or misrepresent your identity or your affiliation with any person; (vi) commit or facilitate any act which constitutes an offence under the Bharatiya Nyaya Sanhita, 2023, the Information Technology Act, 2000, or any other law for the time being in force; (vii) violate the privacy, publicity or other rights of any person; (viii) interfere with, disrupt, overburden or impair the Application, the servers or networks connected to the Application, or the enjoyment of the Application by any other User; (ix) introduce any virus, trojan, worm, malware, ransomware or other malicious or harmful code; (x) gain or attempt to gain unauthorised access to the Application, to any account, or to any computer resource; or (xi) use the Application for any commercial purpose not expressly authorised by the Company in writing.

7.3 You acknowledge and agree that: (i) the Application does not presently provide any in-application blocking, rate limiting or reporting functionality, save that a User may remove another User as a friend, after which neither may ring the other, and may set quiet hours or switch off their bell; (ii) you are solely responsible for the rings you send and for all consequences flowing therefrom; and (iii) the appropriate remedies available to a recipient of unwanted rings include, without limitation, removing the sender as a friend, setting quiet hours, switching off the bell, disabling notifications for the Application, uninstalling the Application, and recourse to the appropriate authorities. The Company is under no obligation to monitor, moderate, mediate or police interactions between Users.

7.4 The Company reserves the right, but assumes no obligation, to investigate any suspected breach of this Clause 7 and to take such action as it considers appropriate, including suspension or termination of access, and disclosure of information to law enforcement or other competent authorities in accordance with applicable law and the Privacy Policy.

The Company does not endorse, guarantee or assume any responsibility for any advertiser, advertisement, or any product, service, representation, offer or content of any advertiser. Any dealings between you and an advertiser are solely between you and that advertiser, and the Company shall have no liability in respect thereof. 10.2 You acknowledge and agree that this Agreement is concluded between you and the Company alone, and not with Apple Inc., and that the Company, and not Apple, is solely responsible for the Application and its content.

10.3 Apple has no obligation whatsoever to furnish any maintenance or support services in respect of the Application.

10.4 In the event of any failure of the Application to conform to any applicable warranty, you may notify Apple and Apple may refund the purchase price, if any, paid by you for the Application. To the maximum extent permitted by applicable law, Apple shall have no other warranty obligation whatsoever with respect to the Application, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty shall be the sole responsibility of the Company.
